This contract shall remain in effect until all the work outlined has been completed, or, either one of the parties terminates the contract providing that notice is given to the other party promptly and any work already completed is paid for in full.
Izzy and Jack acknowledge that at no time during the creation of the work is any AI or artificial intelligence to be used to create, assist, or help in any way unless agreed with the Client or included in the contract.
Both Izzy and Jack and the Client agree to respond to emails on time and provide feedback and answer questions promptly to ensure the project runs smoothly.
FEEDBACK & REVISIONS
Izzy and Jack agree to complete all the work in this contract by the deadlines agreed to and outlined by both parties. For any work that does not have a deadline outlined in this contract Izzy and Jack agree to complete in a reasonable timeframe that is suitable for the service provided.
Izzy and Jack agree to revise all initial drafts and sketches a reasonable number of times at no extra charge for the duration of the project. Any revisions after the project has ended and the final balance has been paid will be charged at a flat rate fee of £25 per hour or a rate suitable for the work.
Any major changes to work after its completion and acceptance by the client, including changes that require redoing work or new work requests, will be charged an appropriate fee and the fee pricing made clear to the client before proceeding.
Izzy and Jack are not contractually obliged to carry out any extra work outside this contract after the scope of work outlined in this contract has been completed.
DELIVERY
Only after receiving the agreed payment in full, will Izzy and Jack send copies of the work to the Client.
Smaller, compressed images and samples may be used in the interim.
Izzy and Jack will supply the work as full-size, high-quality files in formats that are the standard for the current market. If the Client requests the files in any specific format or technical specification, Izzy and Jack should comply in full as much as they are able to do so.
This contract and its payment terms stand even if the Client decides not to publish or use the work as originally intended.
COPYRIGHT
Immediately after the Client has paid the balance in full for all of the work in this contract, Izzy and Jack grant the Client the following rights:
- Exclusive rights to all intellectual property created
- Copyright to duplicate, print, sell and profit from all the work created, including:
- Characters, their names and designs
- All illustrations created
- All text created
- All book covers, both front and back
- Any additional assets such as props and spot illustrations
- Logos
- Any designs for websites, packaging, or products
Izzy and Jack reserve the right to display any of the work on their website or portfolio or at shows, events and to potential new customers in any form, but do not retain the right to print or publish any of the work onto products to sell for profit including any books unless agreed with the client beforehand.
EXPENSES
Izzy and Jack will supply all the necessary software, tools and equipment to complete the work in this contract, but the Client should supply or reimburse Izzy and Jack with any of the following if they are not already agreed upon and included in this contract and the Client requests that Izzy and Jack use them in the work.
- Non-standard fonts
- Non-standard brushes or textures
- Art Supplies
- Licenses
- Copyright acquirement
The above must be invoiced by Izzy and Jack no later than 90 days after purchasing and the Client shall pay the invoice no later than 30 days of receipt.
PAYMENT
The client agrees to pay the full amount outlined in this contract under the section ‘SCOPE OF WORK’ based on the following pay structure.
- A 25% deposit before any work commences.
- The remaining 75% after all the work has been completed and approved, before any books are published ‘live’ online or delivered to the Client.
The Client agrees to pay Izzy and Jack no later than 30 days after receiving the invoice. There will be 0% fees or interest charges.
The Client agrees to pay Izzy and Jack in full whether they use the work for the original stated purpose or not.
If the Client chooses to end the contract before the work has been completed in full, they agree to pay Izzy and Jack;
- 25% after signing this contract
- 50% after work has been started but is not yet near completion
- 100% after work has been started and is near to completion
Upon termination, after receiving payment in full, Izzy and Jack agree to supply the work completed so far to the Client to use as agreed.
This contract will be considered terminated in the event of any of the following:
- Death of either parties
- Any essential members of Izzy and Jack employees are suddenly unable to work due to a serious, life-threatening medical condition, in which the work cannot be completed by another member of staff available
- Either party chooses to terminate this contract in agreement with the terms outlined in the section ‘SCOPE OF WORK’
FORCE MAJEURE
Neither party shall be responsible for any delay, malfunction, failure to complete work, or delay in communication if it is caused by forces beyond their control, such as, but not limited to;
- Accidents
- War
- Terrorism
- Natural Disasters
